Obligations and Restrictions: The franchisor requires that franchisees form a limited liability company, corporation or similar entity to operate the franchised business. If the company or corporation has more than one member, franchisees must designate an “operating owner” who will be principally responsible for supervising and communicating with the franchisor about the franchised business. The operating owner must have the authority and responsibility for the day-to-day operations of the franchised business, must have at least 10% equity, and must successfully complete the training program. Franchisees may only sell the products authorized for their franchise. The Franchise Agreement also prohibits franchisees from offering any products, services or other merchandise that is not included on the list of approved products list, as periodically revised, without first obtaining the franchisor’s written permission. The franchisor does not currently, but has the right in the future to specify maximum prices that can be charged for certain products.

Territory Granted: Franchisees will receive an exclusive trade area as defined within the Franchise Agreement. The franchisor will grant, at a minimum, one county/parish as a trade area. The franchisor will not operate a store or grant franchises for a similar or competitive business within the trade area. Franchisees may not market or sell in another exclusive trade area. However, franchisees may market or sell in an unlicensed territory if they follow the then-current policies and procedures for doing so.
